The Digital & Privacy Counsel works at the exciting intersection of technology and law, providing expertise and hands-on legal support of digital technology initiatives throughout VF and its brands, with a focus on North America.  The primary responsibilities of the role involve: 

Reviewing and negotiating technology-related contracts with a diverse array of technology providers around the world, and   Providing expert privacy law guidance and ensuring operational integrity throughout VF’s personal data environment.  

The mission of the Global Digital and Privacy Legal Team is (i) to ensure an enterprise-wide approach to consumer and associate privacy that reflects strong data ethics and a commitment to transparency and integrity, (ii) to advocate effectively and efficiently for the interests of our clients in technology-related engagements with outside parties, and (iii) to serve as a catalyst for VF’s transformation into a more hyper-digital, consumer-centric global organization.  VF aspires to be at the cutting edge of digital innovation and this role will allow the individual to be closely involved in the procurement and governance aspects of exciting new technologies.?  

The Digital & Privacy Counsel will work with a wide range of VF teams, including Information Security, Digital Technology, Procurement, Strategy, Data Insights & Analytics, Ethics & Compliance, Risk Management, Human Resources, and Legal Department colleagues, as well as exciting brands like Vans®, The North Face®, Timberland®, Timberland PRO®, Dickies®, Altra®, Smartwool®, Icebreaker®, JanSport®, Eastpak®, Supreme®, and Kipling® across North America and the globe.  

The Digital & Privacy Counsel will draft, review, negotiate and complete technology agreements and related documents, as well as manage risks, mitigation strategies, regulatory and contractual compliance, and assist with operational matters.? The Digital & Privacy Counsel will manage legal negotiation of contracts for software-as-a-service, cloud computing, IT infrastructure services (such as capacity, storage, analytics, content delivery), software licensing, and professional services, as well as data protection agreements.?The Digital & Privacy Counsel will also provide expert legal research, analysis, advice, guidance, training, program management, and other assistance in support of data privacy compliance and other areas of law and regulation impacting the use of digital technologies.  The successful candidate will also identify and manage risks, facilitate risk mitigation strategies, and assist with operational matters including policy updates, Data Registry (ROPA) maintenance, Data Subject Request escalations, and Privacy Impact Assessments.   

The Digital & Privacy Counsel position reports to the Senior Counsel, Digital and Privacy, and does not have direct reports. The successful candidate will focus on North America but will work closely with peers and clients in the EMEA and APAC regions. While the majority of our team works in Greensboro, NC, this is considered a fully remote role (US-based).

How You Will Make a Difference: 
Negotiate technology-related agreements to ensure that contracts meet all of VF's requirements, policies, and practices, ensuring successful and timely implementations.  

Evaluate projects involving personal data, ensure that data registries are updated, conduct privacy impact assessments, develop practical risk mitigation strategies, and communicate clear requirements to stakeholders. 

Handle escalations of Data Subject Requests and work with stakeholders to address fulfillment challenges.  

Serve as an ambassador for “Privacy by Design” throughout VF and its brands, conducting training sessions and guiding teams on a wide variety of projects involving the processing of consumer or employee personal data. 

Assist in developing and executing policies, workstreams, strategies and tactics for the technology contracting process and Data Privacy Program to best align with rapidly changing legal requirements and VF’s evolving business models.  

Advance multiple contracts and privacy program workstreams and projects simultaneously, while managing deadlines and competing priorities. 

Build strong relationships of trust and confidence with clients, colleagues, vendors, and counterparties in multiple regions of the world, to ensure early engagement and align business activities with VF policies, legal requirements and best practices.  

Identify requirements of applicable data protection laws and regulations and coordinate with privacy counsel in EMEA and APAC to ensure proper data processing and transfer between jurisdictions.  

Exercise strong judgment and deliver sound advice in a manner that supports accurate and appropriate decisions concerning legal and policy requirements and VF’s business strategy.   

Address legal disputes relating to data and technology, including directing outside counsel in litigation and mediation proceedings, and responding to regulatory investigations regarding privacy and data security, accessibility, or other matters involving digital technologies. 

Continuously develop skills and knowledge of the compliance landscape and relevant industries through research, due diligence, training, benchmarking and other means. 

Coordinate with functional teams to deliver consistent and efficient process enhancements, ensuring that we continually iterate and improve. 

Model honesty and integrity to colleagues and clients, championing a culture of high ethical standards, proactive identification of issues, problem-solving, constructive feedback, and continual progress in order to adapt to a fast-paced legal, business and technological environment. 


Years of Related Professional Experience: 4+ years of relevant legal experience

Educational/ Position Requirements: 
Juris Doctor (“JD”) degree from an ABA-accredited law school, with a preference for demonstrated academic excellence (top 25% of class) at a top-tier law school 

Admitted to practice law and in good standing in at least one U.S. state bar/jurisdiction 

2+ years of direct experience (a) in privacy program management in a consumer-facing corporate environment or (b) negotiating technology-related contracts preferred

Certified Information Privacy Professional - US (CIPP/US) designation from the International Association of Privacy Professionals (IAPP) is preferred (or similar certification such as CIPM, CIPT, or CIPP/E)
