Attorney - Privacy, Commercial Contracts, and IP

Human Resources & Legal

Attorney and consultant with in-house and law firm experience focused on privacy law, data security, commercial contracting, intellectual property transactions, governance, risk management, and compliance. Proficient knowledge of privacy and security regulations and frameworks including GDPR, CCPA, HIPAA, SOC 2, and PCI-DSS.

* Advise clients on compliance with global and domestic data privacy and cybersecurity frameworks in view of marketing and other data processing practices.
* Prepare and revise internal and external data privacy documentation for clients.
* Commercial contract review and negotiations, including software and IP licenses, manufacturer, distribution, supplier, and reseller agreements, strategic partnership agreements, and online purchase, rental, and use terms.

* Draft, review, and negotiate SaaS software licensing agreements.
* Advise the company on privacy law risks related to the handling of customer data.
* Coordinate internal review efforts in preparation for annual HIPAA risk assessment.
* Draft, revise, and socialize company-wide information privacy and security policies and procedures in preparation for company's first SOC 2 Type II audit.
* Respond to customer inquiries on a range of topics, including regulatory and standards compliance, data use, and integrated 3rd party intellectual property.

Information Risk Program Advisor, Contract

* Perform ongoing analysis of privacy and security policies and procedures to keep organization in compliance with HIPAA privacy and security rules.
* Support procurement teams with vendor contract negotiations to ensure alignment with organizational and regulatory policies, commitments, and requirements.
* Consult with division leaders and governing committees on impact of policy revisions on OHSU's missions and vision.
* Collaborate with CPO and CISO to rewrite incident response documentation.

* Extension of the General Counsel's office: engage in pre-litigation dispute resolution negotiations, review IP assignment and licensing agreements, perform legal compliance and risk analysis, and analyze outside counsel billing.
* Legal research and analysis for presentation to GC and executive team.
* Advise product and engineering teams on regional legal, contractual, and regulatory requirements related to data storage, transmission, and use.
* Reconciled product terms of use, EULAs, internal and external support guidelines, and SaaS and on-premise product sales templates following acquisition of multiple competitors.

Interim Contracts Manager

* Advise and represent clients in patent, trademark, and copyright litigation.
* Negotiate and draft patent and copyright license agreements, settlement agreements, mutual protective orders, and confidentiality agreements.
* Legal writing, including drafting pleadings, discovery requests and responses, fact-checking investigations, and legal research and analysis.
* Prepare litigation holds for clients, and travel to client sites to assist with document collection and witness discovery.
* Manage large-scale e-discovery projects, including negotiation of agreed-upon search terms, and oversight of document review, coding, and production teams.
